El Comite de Estrategia Corporativa y Desarrollo (CS & D) se reune 6 veces el último trimestre... no deja de llamar la atención.

Comparing the info in this 9/30 quarterly where the CS&D committee met 6 times in 3 months versus 8 times in 9 months in 2012, I'd say they were much more active during this past quarter.

It sounds like they're meeting (in person or via conference call) bi-weekly, and this is just what we would have expected as things get down to the wire. If that's so, something definitive will be inked by January as it is in the interests of all parties to get a deal inked the instant the 382 restriction is lifted, if not earlier. I'm pretty sure the capital is lined up ($ follows deals) and has been for some time. You've got to figure the due diligence, etc., takes three to four months, and doubtless WMIH has executed LOI with several prospective business partners. However, as we're so close to the two year anniversary it's likely late March is when things will consummate.

"Definitive Documentation" means a deal is done. For WMIH to put such language in the Q means it wants to inform shareholders that it has conducted discussions and due diligence with the goal of finding one or more business partners. Obviously if it had entered "definitive documentation" there would have been an 8-K filing, and your brokerage account(s) would have grown appreciably.

In general, the rules of section 382 allow post-change corporations to use pre-change NOLs, but limit the amount that may be used annually to a percentage of the entity value of the corporation at the date of change of ownership. That percentage is the highest "federal long-term tax-exempt rate," for the month during which the change in ownership occurs and the preceding two months; the federal long-term tax-exempt rate is determined monthly by the IRS along with other "applicable federal rates."

Numerous special rules and limitations apply, including provisions dealing with "built-in gains and losses."

Estoy hasta la coronilla de que Simpson hable de asuntos que nada afecta a los accionistas, no dice mas que sandeces relativas a los perjudicados por las hipotecas.
