En los casos de resultados de fase 3, por ejemplo DVAX y ARRY (pongo un OK y un fail) vinieron de un form 8k. Al final hay las secciones 8 y 9 donde meten cualquier cosa importante que no es un movimiento puramente financiero.

la empresa reportó respuesta de la FDA 4 días después de conocerla, pero dos doctores vendieron antes. cita las secciones de leyes que violaron, y buscándolas aún no he visto el plazo. sólo esto:

aunque no sé como entender eso de "at its option"...

Exacto "at its option", a su discrección. Es optativo. Con el margen que les da la FDA, básicamente pueden presentarlos cuando más les convenga dentro del plazo de un año.

Pues parece que a elección de la compañía. El item 8.01 es para meter cualquier cosa destacable pero que no sea obligatoria. Es más, es el único punto que no tiene fechas límites para con la SEC (la sección 7 es la Regulation FD que tiene un trato de mayor inmediatez)

Companies have four business days to file a Form 8-K for the events specified in the items in Sections 1-6 and 9. However, if the issuer is furnishing a Form 8-K solely to satisfy its obligations under Regulation FD, then the due date might be earlier.
