DJ Zogenix to Sell Sumavel to Endo for $85 Million Cash
Zogenix Inc. (ZGNX) said Thursday that it will sell its Sumavel migraine therapy business to Endo International plc (ENDP) for $85 million in cash.

Zogenix's shares jumped more than 8% in recent premarket trading.

Zogenix, a pharmaceutical company that focuses on the treatment of pain-related and central nervous system disorders, will also be eligible to receive up to $20 million in cash based on the achievement of sales and manufacturing milestones from its Sumavel DosePro Needle-free Delivery System migraine therapy business.

Zogenix will continue to manufacture the sumatriptan injection migraine therapy under a supply agreement, though the product's new drug application will be transferred to Endo, which will obtain world-wide rights to the product. Zogenix said it will remain the owner of the DosePro Needle-Free Delivery System technology and all manufacturing assets upon which Sumavel DosePro is based, and will also retain responsibility for the entire DosePro manufacturing supply chain.

Zogenix plans to use about $40 million of the proceeds to eliminate its debt obligations with HealthCare Royalty Partners, the company said. The sale will enable Zogenix to focus more on the launch of its new painkiller Zohydro ER.
