Excelente Carta representativa de todos los accionistas

http://www.ghostofwamu.com/documents/08-12229/08-12229-2643.pdf

The following came from Venable.com

March 30, 2010
American Lawyer names Greg Cross Bankruptcy Dealmaker of the Year
American Lawyer has named Greg Cross, chair of Venable’s Bankruptcy and Creditors’ Rights Practice Group, the publication’s “Bankruptcy Dealmaker of the Year” for his work orchestrating the plan allowing GGP, the nation’s second largest mall operator, to exit bankruptcy while protecting the rights of the REIT’s creditors.

GGP’s $27 billion bankruptcy filing in April 2009 shocked the commercial mortgage–backed securities community because the company opted to file alongside its special purpose entities (SPEs), which held the real estate assets of 166 of its malls. Industry wide concern was so high that the Commercial Mortgage Securities Association filed an Amicus Brief shortly after GGP's filing arguing that the company's approach to bankruptcy could be disastrous for the real estate finance markets.

Cross, who represented a group of special servicers tasked with determining which creditors are due what took the lead in coordinating the efforts of an ad hoc group of secured creditors that were owed more than $12 billion. Cross’ novel strategy pushed back the maturity date of GGP's loans in exchange for a debt structure that increased amortization payments and gave lenders significant protection. In December, US bankruptcy court judge Allan Gropper approved the deal in December.

"[Cross] did a very good job of orchestrating the deal on behalf of his clients," Alston & Bird partner Joseph Forte, who represented the Commercial Mortgage Securities Association in the bankruptcy, told American

List of the current facts and not speculative scenarios.

The next few weeks will be very busy and have the potential to start defining the direction of this case as Equity has to ability to take on a more active role. Here are some of the events that are expected.

Joinder Motion supporting the EC (timing unknown)

Objection to the POR from the EC (timing unknown)

April 6th:

20th Omnibus Claims Objections - includes WMB Bondholder's $5.5B claims
http://www.kccllc.net/documents/0812229/0812229100205000000000017.pdf (warning 24 megs)

Retention of Peter J Solomon Company as Financial Advisor
http://www.kccllc.net/documents/0812229/0812229100302000000000009.pdf

Summary Judgment motion to compel a shareholder meeting
http://www.kccllc.net/documents/0812229/0812229100311000000000015.pdf

If approved, we could see:

A Shareholder's Meeting by month end

The addition of 2 Preferred Stock BOD members

A possible vote to oust the current BOD members

A true valuation of WMI from Solomon and proof A>L

Dismissal of the WMB Bondholders claims in this case showing the FDIC the responsible holder

We may hear a lot of "noise" these next few weeks but keep looking forward with our focus on the truth of the case. This is far from over but April could be our best month yet.

http://messages.finance.yahoo.com/Stocks_%28A_to_Z%29/Stocks_W/threadview?m=te&bn=86316&tid=415821&mid=415821&tof=2&frt=2#415821

EL PLAN A SEGUIR Y ANTIGUOS ERRORES

WHAT WE DID WRONG ?

Trusted Weil, Gotshal.
Trusted Rosen.
Trusted the WMI Board of Directors.

* To do the right thing for the common shareholder.

WHAT WE DID RIGHT ?

Had faith in our convictions.
Pursued JPM and the FDIC with a vengeance.
Had Joyce on our team to pursue the EC.
Had Ghost to organize a central meeting website and information board.
Had Bopfan, Viv, Mary, Lawrence, etc., to provide legal “insight” on our team.
Had an honest Trustee (bless him) who kept us in the game.
Helped collect information for the EC from over 18 months of involvement.

* All of which kept us alive and of intent.

WHAT WE NEED TO COMPLETE OUR MISSION !

Ask for temporary Trustee.
Shareholder vote.
Remove entire current board.
Install Equity Board of Directors
$4 billion SJ.
Amend complaint to “TORT”.
Start the Depositions.
Trial to expose the scum of the earth.
Group to put damning info together for Senate Subcommittee.
Group to promote Shareholder vote for EC control.
Group to promote hedge funds to play on our side, (for their benefit)

* With an experienced and honest Judge (Her Honor J. Walrath) as indicated by past and present performance, the facts and the law should provide a satisfactory resolve for all of the equity holders
and suitable punishment for all the scum, if they don‘t come to the table with a respectable offer.
